Terms of service
The terms on which we provide CartSome to the businesses that run their shops on it.
1. About these terms
These terms govern the use of CartSome, the e-commerce platform provided by Acticly OÜ, registry code 17410015, registered address Mäealuse tn 10, 12618 Tallinn, Harju maakond, Estonia, VAT number EE102942820 ("CartSome", "we", "us"), by a business that runs a shop on it ("you"). They apply together with the order or agreement we sign with you (the "Agreement"). Where the two differ, the Agreement prevails.
CartSome is for businesses. By using it you confirm that you act for a business and may bind it to these terms.
2. The service
CartSome is a hosted online shop: a storefront, checkout and delivery integrations, an admin, and an MCP interface through which AI clients you connect can act in your admin. We host, maintain, secure and update it. The service develops over time; we will give you reasonable notice before removing a feature you rely on.
3. Accounts and access
You decide who gets admin access and which AI clients and access tokens you connect, and with which rights. You are responsible for what is done through your admin accounts and connections, and for keeping their credentials secret. Tell us at once at hello@cartsome.com if you suspect someone has access who should not.
4. AI clients
An AI client is a service you choose and contract with yourself. Its suggestions can be wrong. Important changes are previewed first and wait for your confirmation: check each preview before you confirm it. You are responsible for the changes you or your team confirm.
5. Your shop and data
Your shop's content and data stay yours: products, texts, images, customers and orders. You give us the rights we need to host, copy, process and display them in order to provide the service. You are responsible for your products, prices, terms of sale and for following the consumer, tax and other laws that apply to your shop.
6. Acceptable use
You may not use CartSome to:
- sell goods or services that are illegal where you sell them, or publish content that infringes someone else's rights;
- send spam, or collect personal data without a lawful basis;
- spread malware, probe or break the service's security, or put an unreasonable load on it;
- resell or sublicense the service without our written agreement.
7. Other services
Payments (such as Montonio), carriers, accounting systems and AI clients are provided by their own companies under your own agreements with them. We connect to them for you but are not responsible for their services.
8. Fees
Fees, billing periods and payment terms are set in the Agreement. Unless it says otherwise, fees are exclusive of VAT.
9. Data protection
For personal data in your shop, such as your customers' details and orders, you are the controller and we are your processor. We process it only on your documented instructions, under a data processing agreement that forms part of the Agreement (GDPR Article 28). The service is hosted by Amazon Web Services in its Stockholm region (eu-north-1). How we handle data on cartsome.com itself is in our privacy policy.
10. Availability and support
We work to keep CartSome available at all times but cannot promise uninterrupted service. We announce planned maintenance in advance where we can. Support is by email at hello@cartsome.com, unless the Agreement sets out more.
11. Liability
Neither party is liable to the other for indirect or consequential loss, or for lost profit, revenue or goodwill. Our total liability under the Agreement is limited to the fees you paid us in the twelve months before the claim. These limits do not apply to wilful misconduct or gross negligence, or to liability that the law does not allow to be limited.
12. Suspension and ending
The Agreement says how either party may end it. We may suspend access for a serious breach of these terms, or to protect the service or other shops, with notice where we can give it. When a shop is removed, we prepare an export of its data that you can download for 90 days; after that it is deleted.
13. Changes
We may update these terms. We will tell you about a material change at least 30 days before it applies; if you do not accept it, you may end the Agreement before then.
14. Law and disputes
These terms and the Agreement are governed by the laws of the Republic of Estonia. A dispute that cannot be settled by negotiation is resolved by Harju County Court (Harju Maakohus).
